Renopay Referral Scheme — Terms and Conditions

These terms govern the Renopay Referral Scheme (the “Scheme”) operated by Renopay Limited, a company registered in England and Wales (company number 16521097) whose registered office is at 124-128 City Road, London EC1V 2NJ (“Renopay”, “we”, “us”).

By taking part in the Scheme you agree to these terms. Please read them before you refer anyone.

1. Summary

If you refer a builder to Renopay and that builder goes on to complete five qualifying projects on our platform, we will pay you £1,000.

This summary is for convenience only. The full terms below govern the Scheme.

2. Who can take part

2.1 You may take part if you are aged 18 or over and resident in the United Kingdom.

2.2 You do not need a Renopay account to refer a builder.

2.3 The following may not claim a Referral Reward:

(a) employees, officers and directors of Renopay, and members of their immediate households;

(b) a builder referring their own business, or any business in which they hold a material interest;

3. How to refer

3.1 You obtain a unique referral link from renopay.co.uk/refer by providing your name and email address.

3.2 You may refer as many builders as you wish. There is no limit on the number of referrals you may make.

3.3 A referral is only valid if the builder reaches Renopay through your referral link and subsequently registers a builder account.

3.4 If no referral link is used at registration, there is no valid referral and no reward is payable, except where clause 3.7 applies. We cannot otherwise attribute a referral retrospectively.

3.5 Where a builder has used more than one referral link, the referral link through which the builder arrived at registration is the one that counts. This is sometimes called “last touch”. Only one Referral Reward is payable in respect of any one builder.

3.6 Referrals must be genuine. You must not refer a builder without their knowledge, use paid advertising against Renopay brand terms, post referral links to coupon or incentive aggregation sites, or take any step designed to obtain a reward other than by genuinely recommending Renopay.

3.7 Confirmation by the builder. Where a referral link was used but the referral was not recorded at registration, for example because the builder registered on a different device or at a later date, the referral may still be treated as valid if the referred builder confirms to us in writing, within 30 days of registering their account, that they were referred by you and identifies your referral link or code. Confirmation must come from the builder. We will not accept a claim made only by a referrer, and our determination of whether a referral is valid under this clause is final.

4. What qualifies

4.1 A Referral Reward becomes payable when a referred builder has completed five Qualifying Projects.

4.2 A Qualifying Project means a renovation project on the Renopay platform which:

(a) has a total value of £10,000 or more (this threshold applies to each project individually and is not averaged across projects);

(b) is a distinct project (a project with multiple stages or milestones is one Qualifying Project, not several, however many stages it has or however its value is divided between them);

(d) has not been reversed, refunded in full, or the subject of a determination substantially in the homeowner's favour.

4.3 Projects completed by a referred builder before they registered through your referral link do not count.

5. The reward

5.1 The Referral Reward is £1,000 for each referred builder who completes five Qualifying Projects.

5.2 The Scheme is limited to the first 500 Referral Rewards. Once 500 Referral Rewards have become payable across all participants, no further Referral Rewards will be payable, regardless of how many referrals have been made or how many builders subsequently qualify. There is no limit on the number of referrals that may be submitted; the limit applies to rewards.

5.3 Referral Rewards are allocated against the 500 limit in the order in which referred builders complete their fifth Qualifying Project.

5.4 We will publish on renopay.co.uk an indication of the number of Referral Rewards remaining, and will update this from time to time.

5.5 The Referral Reward is paid by Renopay directly from its own funds. It is not paid from, and does not affect, any money held for a renovation project.

6. Payment

6.1 When a referred builder completes their fifth Qualifying Project, we will contact you at the email address you provided to arrange payment.

6.2 We collect your payment details only at that point. We do not collect or hold any bank or payment information when you make a referral.

6.3 You must provide the payment information we reasonably request, and any information we require to verify your identity, within 90 days of us contacting you. If you do not, we may treat the Referral Reward as forfeited.

6.4 We will pay the Referral Reward within 30 days of receiving complete and verified payment details.

6.5 Referral Rewards are paid in pounds sterling to a UK bank account in your name.

6.6 Referral Rewards are paid gross. You are responsible for determining and meeting any tax liability arising on a Referral Reward, and for making any declaration required by HM Revenue & Customs. If you are in any doubt you should take your own tax advice. Where you receive a Referral Reward in the course of a business, you are responsible for accounting for any VAT due.

6.7 We may withhold payment where we reasonably suspect the referral was not genuine, these terms have been breached, or payment would place us in breach of any legal or regulatory obligation.

7. Referrals by homeowners and professional advisers

7.1 You may refer the builder working on your own renovation project, and your own project may count as one of the five Qualifying Projects, provided the requirements of clause 4 are met.

7.2 If you recommend Renopay to a builder in a professional capacity, or in circumstances where another person may rely on your recommendation, you must tell that person that you may receive a Referral Reward. This applies in particular to architects, designers, surveyors, project managers and other professional advisers.

7.3 Where you tell us you are referring in a professional capacity, we will ask you to confirm that you have made the disclosure required by clause 7.2. We may withhold a Referral Reward where that confirmation has not been given.

7.4 It is your responsibility to ensure that participating in the Scheme does not breach any duty you owe to a client or employer, or any professional or regulatory rules that apply to you.

8. Changes to the Scheme and withdrawal

8.1 We may change these terms or withdraw the Scheme at any time by publishing notice on renopay.co.uk.

8.2 If we change the terms or withdraw the Scheme, any referral you have already validly made will continue to be governed by the terms in force at the time that referral was made, and any Referral Reward that would have become payable under those terms will be honoured, subject to the 500 reward limit in clause 5.2.

8.3 Clause 8.2 does not apply where we withdraw the Scheme or change these terms because we are required to do so by law, by a regulator, or to prevent fraud or abuse.

9. Your information

9.1 When you make a referral we collect your name and email address. Where a referred builder uses your link and chooses to provide their email address, we collect that address and details of the visit.

9.2 We process this information to operate the Scheme, to attribute referrals, to contact you about a Referral Reward, and to prevent fraud. Our lawful basis is our legitimate interest in operating the Scheme, and performance of these terms once you take part.

9.3 Where a referred builder provides their email address, we will send them a message containing their referral link so that they can register at a time that suits them. This is sent at their request and is not marketing.

9.4 We may send you, or a referred builder, information about Renopay's products and services where you have agreed to receive it, or where we are otherwise permitted to do so by law. You can stop receiving these messages at any time using the unsubscribe link in any message, or by emailing us. Withdrawing marketing consent does not affect your participation in the Scheme or any Referral Reward payable to you.

9.5 We do not tell you whether a builder you referred has provided their email address, registered, or completed any project, except to the extent necessary to pay you a Referral Reward.

9.6 We retain referral records for as long as a Referral Reward could still become payable, and for six years after any payment is made, in order to meet our accounting and tax obligations.

9.7 Our Privacy Policy explains your rights and how to exercise them, including your right to object to processing and your right to ask us to delete your information. If you ask us to delete your information we may be unable to continue to attribute your referrals or to pay a Referral Reward.

10. General

10.1 Nothing in these terms creates an employment relationship, partnership, agency or joint venture between you and Renopay.

10.2 The Scheme is not a lottery, prize competition or game of chance. Referral Rewards depend on the qualifying conditions in clause 4 being met.

10.3 Referral Rewards are personal to you and may not be transferred, assigned or sold.

10.4 We may transfer our rights and obligations under these terms to another organisation. Your rights under these terms will not be affected.

10.5 If any provision of these terms is found to be unlawful or unenforceable, the remaining provisions will continue in force.

10.6 Nothing in these terms limits or excludes our liability for fraud, for death or personal injury caused by our negligence, or for any other liability that cannot lawfully be limited or excluded.

10.7 Except as set out in clause 10.6, our total liability to you in connection with the Scheme is limited to the value of any Referral Reward properly payable to you under these terms.

10.8 These terms do not affect your statutory rights.

10.9 These terms are governed by the law of England and Wales. Any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales, except that if you live in Scotland or Northern Ireland you may also bring proceedings in the courts of the country in which you live.
